    Welcome to Arc44 (“Arc44,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of our website at arc44.com (the “Site”) and your engagement of our design services, including brand identity, logo design, vehicle wrap design, and visual communication services (collectively, the “Services”).

    By accessing the Site or engaging our Services, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, please do not use the Site or engage our Services.


    1. About Arc44

    Arc44 is a brand identity and design studio providing creative services to businesses and individuals. Our Services include, but are not limited to:

    • Brand identity systems and brand guidelines
    • Logo design (marks, wordmarks, and emblems)
    • Vehicle wrap and fleet graphic design
    • Visual communication (pitch decks, signage, packaging, and marketing collateral)

    2. Proposals, Quotes & Engagement

    2.1 Project Scope. All projects begin with a written proposal or quote outlining the scope of work, deliverables, timeline, and fees. Work commences only after the Client accepts the proposal in writing and pays any required deposit.

    2.2 Quote Validity. Unless otherwise stated, quotes are valid for thirty (30) days from the date of issue.

    2.3 Scope Changes. Any work requested outside the agreed scope (“out-of-scope work”) will be quoted separately and may affect the project timeline. Arc44 will not proceed with out-of-scope work without written approval.

    3. Fees & Payment

    3.1 Deposit. Unless otherwise agreed in writing, a non-refundable deposit of [50]% of the total project fee is required before work begins.

    3.2 Final Payment. The remaining balance is due upon project completion and before the release of final files. Final deliverables, source files, and intellectual property rights are transferred only upon receipt of full payment.

    3.3 Late Payment. Invoices are due within [14] days of issue. Overdue invoices may accrue interest at a rate of [1.5]% per month or the maximum rate permitted by law, whichever is lower. Arc44 reserves the right to pause work on any project with outstanding invoices.

    3.4 Third-Party Costs. Fees for third-party services — including printing, wrap production and installation, stock imagery, font licensing, and domain or hosting costs — are not included in our design fees unless expressly stated. Such costs are the Client’s responsibility.

    4. Revisions & Approvals

    4.1 Included Revisions. Each project includes the number of revision rounds specified in the proposal. Additional revision rounds will be billed at Arc44’s then-current hourly rate or as otherwise quoted.

    4.2 Client Approvals. The Client is responsible for reviewing and approving work at each project stage. Approval of a stage (e.g., strategy, concept, or final artwork) signifies acceptance, and subsequent changes to approved work may be treated as out-of-scope.

    4.3 Proofing Responsibility. The Client is responsible for final proofreading and verification of all content, including spelling, contact details, and regulatory information, before approving artwork for production. Arc44 is not liable for errors approved by the Client.

    5. Client Responsibilities

    The Client agrees to:

    • Provide timely feedback, content, and materials required for the project;
    • Ensure that all materials supplied to Arc44 (text, images, logos, etc.) are owned by or licensed to the Client and do not infringe any third-party rights;
    • Designate a primary point of contact authorized to approve work.

    Delays in providing feedback or materials may extend project timelines, and extended Client inactivity (more than [30] days without response) may result in the project being archived, with a reactivation fee applying.

    6. Intellectual Property

    6.1 Transfer of Rights. Upon receipt of full payment, Arc44 assigns to the Client the intellectual property rights in the final approved deliverables, unless otherwise specified in the proposal.

    6.2 Preliminary Works. All concepts, drafts, and design options not selected as final deliverables remain the property of Arc44 and may be used or repurposed by Arc44 at its discretion.

    6.3 Third-Party Elements. Some deliverables may incorporate third-party elements (e.g., licensed fonts or stock imagery) that are subject to their own license terms. Arc44 will inform the Client of any such licenses, and the Client is responsible for maintaining them where applicable.

    6.4 Portfolio Rights. Arc44 retains the right to display completed work in its portfolio, website, social media, and marketing materials, and to credit itself as the designer, unless a confidentiality arrangement is agreed in writing.

    7. Cancellation & Termination

    7.1 Cancellation by Client. If the Client cancels a project after work has commenced, the Client remains liable for all work completed to the date of cancellation, and the deposit is non-refundable. Work completed beyond the value of the deposit will be invoiced.

    7.2 Termination by Arc44. Arc44 may terminate an engagement if the Client breaches these Terms (including non-payment), behaves abusively toward our team, or requests work that is unlawful or violates third-party rights. In such cases, the Client remains liable for work completed.

    8. Timelines & Delivery

    Project timelines provided in proposals are good-faith estimates. Arc44 will make reasonable efforts to meet agreed deadlines but is not liable for delays caused by Client feedback cycles, third-party vendors, or events beyond our reasonable control (see Section 12, Force Majeure).

    9. Vehicle Wraps & Physical Production

    Arc44 provides design services only unless expressly agreed otherwise. Production, printing, and installation of vehicle wraps, signage, and other physical items are carried out by third parties. Arc44 is not responsible for:

    • Print or material quality, color variances between screen and physical output, or installation workmanship performed by third parties;
    • Compliance of installed wraps or signage with local vehicle, traffic, or advertising regulations, which remains the Client’s responsibility.

    Arc44 will supply production-ready artwork prepared to industry-standard specifications.

    10. Warranties & Disclaimers

    10.1 Our Warranty. Arc44 warrants that its design work will be original (excluding Client-supplied and licensed third-party materials) and performed with reasonable skill and care.

    10.2 No Guarantee of Outcomes. Arc44 does not warrant or guarantee any particular commercial outcome, including sales, engagement, brand recognition, or trademark registrability. The Client is responsible for conducting trademark searches and registrations for any names or logos before use; Arc44 recommends engaging a trademark attorney for this purpose.

    10.3 Site Disclaimer. The Site and its content are provided “as is” without warranties of any kind, whether express or implied, to the fullest extent permitted by law.

    11. Limitation of Liability

    To the maximum extent permitted by law:

    • Arc44’s total aggregate liability arising out of or related to any project or these Terms shall not exceed the total fees paid by the Client for the project giving rise to the claim;
    • Arc44 shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or goodwill, even if advised of the possibility of such damages.

    Nothing in these Terms excludes liability that cannot be excluded under applicable law.

    12. Force Majeure

    Arc44 is not liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, power or internet outages, labor disputes, pandemics, or acts of government.

    13. Confidentiality

    Each party agrees to keep confidential any non-public business information disclosed by the other party in connection with a project, and to use such information only for the purposes of the engagement. This obligation survives the completion or termination of any project. Arc44’s portfolio rights under Section 6.4 apply unless the parties agree otherwise in writing.

    14. Website Use

    When using the Site, you agree not to:

    • Copy, reproduce, or distribute Site content or portfolio work without permission;
    • Attempt to interfere with the Site’s operation or security;
    • Use the Site for any unlawful purpose.

    All content on the Site — including designs, images, text, and branding — is the property of Arc44 or its clients and licensors and is protected by copyright and other intellectual property laws.

    15. Third-Party Links

    The Site may contain links to third-party websites and social platforms (e.g., Facebook, Instagram, LinkedIn, Behance). Arc44 is not responsible for the content or practices of any third-party sites.

    16. Changes to These Terms

    Arc44 may update these Terms from time to time. The updated version will be posted on the Site with a revised “Last Updated” date. Continued use of the Site or Services after changes take effect constitutes acceptance of the revised Terms. Projects already in progress remain governed by the terms accepted at the time of engagement unless both parties agree otherwise.

    17. Governing Law & Disputes

    These Terms are governed by the laws of [JURISDICTION], without regard to conflict-of-law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of [JURISDICTION]. The parties agree to first attempt to resolve any dispute in good faith through direct negotiation before commencing formal proceedings.

    18. General

    18.1 Entire Agreement. These Terms, together with any accepted proposal, form the entire agreement between the parties regarding the Services. In the event of a conflict, the terms of a signed proposal or separate written agreement prevail.

    18.2 Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

    18.3 No Waiver. Failure to enforce any provision does not constitute a waiver of that provision.

    18.4 Assignment. The Client may not assign its rights under these Terms without Arc44’s written consent.
